Terms of use

These terms govern your use of Incisa. Please read them carefully, especially the section on recording and transcribing other people: that responsibility is yours.

Acceptance

These terms are an agreement between you and PRODTECH GROUP LLC, 1421 SW 107 Ave #423, Miami, FL 33174, USA (“Prodtech,” “we” or “us”), which provides the Incisa service: the incisapp.com website, the web app and the desktop app. By creating an account or using Incisa, you agree to these terms and to the Privacy Policy, which is part of them. If you don’t agree, don’t use Incisa.

You must be at least 16 years old. If you use Incisa on behalf of a company or other organization, you represent that you have the authority to bind it, and these terms apply to it as well.

What Incisa is

Incisa is a tool controlled by the person using it: it transcribes the audio from your microphone and your computer while you choose to record and, from that, lets you create meeting notes, documents and translations.

  • Incisa doesn’t join calls and doesn’t notify other participants that the conversation is being transcribed.
  • By default, audio is transcribed on your computer and then discarded. If you or your organization turn on AI transcription, the audio is sent to our provider, Soniox, to be transcribed.
  • If you turn on AI, the meeting’s text is sent to our provider, Anthropic, to create what you request.
  • Prodtech provides the tool: it doesn’t decide which meetings are transcribed, doesn’t take part in them and doesn’t control their content.

Your responsibility when recording and transcribing

You decide when to record and which meetings to transcribe, and you are solely responsible for doing so lawfully. Laws on recording, interception of communications, privacy and data protection vary by country and, in the United States, by state. Some require the consent of everyone taking part in the conversation.

Before transcribing a conversation, you agree to:

  • Tell everyone taking part that the conversation will be transcribed and, if AI transcription is on, that their voice is sent to a provider for that purpose.
  • Get their consent whenever applicable law requires it, and not transcribe if someone objects when the law gives them that right.
  • Not transcribe conversations you’re not part of or don’t have the right to record, and not breach any confidentiality obligations you owe to others.
  • Handle the personal data of other people in the transcript as the law requires, including their requests for access or deletion.

The reminders Incisa shows are there to help you and don’t replace these obligations. Prodtech doesn’t verify whether you obtained the required consent and isn’t responsible for meetings you transcribe without it.

In an organization, the organizer is responsible for making sure its members know and comply with these obligations, especially if the organizer turns on AI transcription for everyone.

Your content

Your content belongs to you: the transcripts, meeting notes, documents, templates and branding you upload. You grant us a limited, non-exclusive, royalty-free license to store it, process it and send it to the providers you or your organization turn on, solely to provide the service to you and only while you use it.

Prodtech doesn’t use the content of your meetings for its own purposes: we don’t read it, analyze it, use it to train AI models or sell it. We only access it if you ask us to for support or if the law requires it.

You represent that you have the necessary rights to the content you upload or create, including content from other people.

Artificial intelligence

Transcripts, translations, meeting notes and documents are generated automatically and may contain errors or omissions, or attribute statements to the wrong person. Review them before you use or share them, or make decisions based on them. They are not professional advice of any kind.

You are responsible for how you use what Incisa generates, including anything you send to others.

Acceptable use

You may not use Incisa to:

  • Record or transcribe other people without meeting legal requirements, or covertly where the law prohibits it.
  • Carry out activities that are illegal or fraudulent, or that infringe the rights of others, such as privacy, intellectual property or confidentiality.
  • Try to access other people’s accounts, data or systems, or interfere with the service.
  • Copy, decompile or reverse engineer the software, except where the law allows it, or get around the limits of your plan.
  • Resell the service or give third parties access to it without our permission.

Your account

You are responsible for keeping your password and your computer secure, and for all activity under your account. If you think someone has accessed it without permission, write to us at privacidad@incisapp.com.

Plans and payments

Features and limits depend on your plan, as shown in the app. If you buy a paid plan or an hours pack, the price, renewal terms and cancellation terms shown to you at purchase apply.

Changes to the service and availability

We may change, add or remove features, and the service may be interrupted for maintenance, failures or reasons beyond our control. We don’t guarantee that the service will be uninterrupted or that your content will be preserved in every failure, so we recommend downloading anything you need to keep.

Suspension and account closure

You can stop using Incisa at any time and ask us to close your account by writing to privacidad@incisapp.com. We may suspend or close your account if you breach these terms or the law, if your use puts other people or the service at risk, or if an authority requires it. The Privacy Policy explains what happens to your data when an account is closed.

Intellectual property

The Incisa software, design and brand belong to Prodtech or its licensors. We grant you a limited, personal, non-exclusive, non-transferable license to use them while you have an account and in accordance with these terms. Zoom, Microsoft Teams, Google Meet and WhatsApp are trademarks of their respective owners; Incisa is not affiliated with them.

No warranties

Incisa is provided “as is” and “as available.” To the extent permitted by law, Prodtech makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

Limitation of liability

To the extent permitted by law, Prodtech and its members, employees and providers are not liable for any indirect, incidental, special, punitive or consequential damages, or for any loss of profits, data or business, even if advised of the possibility of such damages.

Nor are they liable for recordings or transcripts you make without informing participants or without the consent required by law, or for how you use the content generated.

In any case, Prodtech’s total liability for any claim related to Incisa won’t exceed the greater of the amount you paid Prodtech in the 12 months before the event giving rise to the claim, or 100 US dollars.

Indemnification

You agree to defend, indemnify and hold harmless Prodtech and its members, employees and providers from and against any claim, damage, fine, cost or expense, including reasonable attorneys’ fees, arising from your content, the meetings you transcribe, your failure to inform participants or obtain their consent, or your breach of these terms or the law.

Governing law and disputes

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida, and both parties submit to their jurisdiction.

To the extent permitted by law, claims must be brought individually and not as part of a class or representative action.

If you live outside the United States, nothing in these terms takes away rights that the law of your country doesn’t allow you to waive.

Changes to these terms

We may update these terms. If a change is significant, we’ll let you know in advance by email or in the app. If you keep using Incisa after the change takes effect, you accept the new version. The date of the last update is always at the top of this page.

Other terms

  • These terms and the Privacy Policy are the entire agreement between you and Prodtech regarding Incisa.
  • If any provision is found invalid, the rest remain in effect.
  • Our failure to enforce a provision isn’t a waiver of it.
  • You may not assign these terms without our consent. We may assign them if we transfer the service.
  • These terms are available in English and Spanish. If they differ, the English version prevails.
